Today, Nordson Corporation announced that it has signed a definitive agreement to acquire CyberOptics, Inc., a global developer and manufacturer of high-precision 3D optical sensing technology solutions. The acquisition enhances Nordson's test and inspection platform, helps it provide differentiated technologies, and expands Nordson's product offerings in the semiconductor and electronics industries. The all-cash transaction values CyberOptics at $54.00 per share, or approximately $380 million net of acquisition, which is 18.5 times CyberOptics' 12-month EBITDA valuation and 14.5 times cost synergies valuation. The transaction is expected to close in the first quarter of Nordson's fiscal year 2023, subject to relevant regulatory and shareholder approvals.
